ORGANIZATION, MANAGEMENT AND CONTROL MODEL IN ACCORDANCE WITH THE PROVISIONS OF LEGISLATIVE DECREE 231/2001

Messersì S.p.A. has embarked on a path aimed at implementing procedures, policies, and behavioral models dedicated to fully achieving corporate compliance, through the updating and creation of internal processes in line with international guidelines and standards.

The adaptation activities carried out represent an important milestone for the company and a fundamental step towards an integrated management of business processes, increasingly transparent, compliant with current regulations, and oriented towards the protection of stakeholders.

The path towards integrated compliance management has been pursued through the following activities:

  1. Preliminary analysis: Evaluation of the company’s operational structure, existing internal processes, specific characteristics of the core activity, and organization aimed at identifying the operational areas most exposed to the risks of regulatory non-compliance.
  2. Design of the Organization and Management Model: Development and implementation of the Organization, Management and Control Model (MOG), in line with the provisions of Legislative Decree 231/2001 and subsequent amendments, and with the needs of the corporate structure.
  3. Code of Ethics and Conduct: Definition of values, policies, and guidelines aimed at guiding the behavior of all members of the corporate organization, from managers to employees. The Code represents a formal commitment to operate with transparency, legality, and responsibility.
  4. Whistleblowing: Implementation of a system for reporting illegal or unethical behavior, in a secure and confidential manner, to protect the integrity of the organization and ensure a work environment compliant with regulations and in particular with Legislative Decree No. 24/2023.
  5. Specific training: Organization of training sessions for employees and company managers to deepen the principles and procedures of Model 231, the importance of Whistleblowing, and the Code of Ethics and Conduct.
  6. Privacy adaptation activities: Integration of procedures and tools to ensure compliance with personal data protection regulations pursuant to EU Regulation No. 2016/679 – GDPR.
  7. Establishment of the Supervisory Body (OdV): Provision and establishment of a collegial Supervisory Body (OdV) tasked with monitoring the effectiveness and application of Model 231 and with the objective of monitoring compliance with regulations.

This complex reorganization process was conducted with the assistance of TMDPLEX law firm, which guided every phase of the project. Through the expertise of dedicated professionals, it was possible to successfully tackle and achieve the ambitious goal dedicated to achieving regulatory compliance.
